Sync Terms of Service

These Terms of Service ("Terms") govern your access to and use of Sync ("Sync", "we", "us", "our"), a multi-company accounting, payroll, and business management platform operated by [SYNC LEGAL ENTITY NAME — PLACEHOLDER], a company registered in Kenya under registration number [REGISTRATION NUMBER — PLACEHOLDER], with its registered address at [REGISTERED ADDRESS — PLACEHOLDER].

By creating an account or using Sync, you agree to these Terms. If you do not agree, do not use Sync.

1. Who can use Sync

You must be at least 18 years old and able to form a binding contract to create a Sync account. You must provide accurate, complete information when signing up and keep it up to date.

2. Your account

You are responsible for keeping your login credentials secure and for all activity that happens under your account. Tell us immediately at support@sync.ke if you suspect unauthorised access.

3. Plans, billing, and trials

  • Sync offers a 30-day free trial on every plan, limited to one trial per account/email.
  • Paid plans are billed in advance for each billing period. Payment is collected before your subscription or any additional user seats become active — you will never be invoiced for something that has not already been paid for.
  • Fees are shown in Kenyan Shillings (KES) and are exclusive of VAT unless stated otherwise.
  • Subscription fees are non-refundable, including for partial periods, except where required by Kenyan law.
  • We may change our fees. If we do, we will give you at least 30 days' notice by email before the change takes effect. Continuing to use Sync after that date means you accept the new fees.
  • You can cancel your subscription at any time from your account settings. Cancellation takes effect at the end of your current paid period; we do not provide partial refunds for unused time.

4. Your data

  • You own the data you put into Sync — your company records, transactions, customer information, and payroll data. We do not claim ownership over it.
  • You are responsible for the accuracy of the information you enter into Sync, including for tax filings submitted through Sync to KRA via eTIMS. Sync helps you prepare and submit this information, but you remain responsible for ensuring it is correct before submission.
  • Our Privacy Policy explains how we collect, use, and protect personal data, including your obligations and rights under Kenya's Data Protection Act.

5. Third-party services

Sync integrates with third-party providers to deliver parts of the service, including Paystack (card and M-Pesa payment processing), Safaricom M-Pesa (Paybill/Till reconciliation), and KRA's DigiTax/eTIMS gateway (tax invoice filing). Your use of these integrations may also be subject to that provider's own terms. We are not responsible for outages, errors, or changes made by these third parties that are outside our control, though we will make reasonable efforts to keep you informed and to restore service promptly.

6. Acceptable use

You agree not to:

  • Use Sync for any unlawful purpose, or to store or transmit content that infringes someone else's rights;
  • Attempt to gain unauthorised access to Sync, other customers' data, or our systems;
  • Resell, sublicense, or provide Sync as a service to third parties without our written permission;
  • Use Sync to send spam, malware, or other harmful content;
  • Attempt to reverse-engineer, copy, or interfere with the platform's software.

We may suspend or terminate accounts that we reasonably believe violate this section, after making reasonable efforts to notify you first, except where immediate action is needed to protect the security of Sync or other customers.

7. Our intellectual property

Sync and its underlying software, design, and branding are owned by us or our licensors. These Terms do not grant you any rights to our intellectual property beyond what is needed to use Sync as intended.

8. Service availability

We work to keep Sync available and reliable, but we do not guarantee uninterrupted or error-free service. You can check the current operational status of core services at sync.ke/status. We are not liable for losses caused by planned maintenance or circumstances outside our reasonable control.

9. Limitation of liability

To the maximum extent permitted by Kenyan law, Sync's total liability to you for any claim arising from your use of the platform is limited to the amount you paid us in the 12 months before the claim arose. We are not liable for indirect, incidental, or consequential losses, including lost profits or lost data, except where such liability cannot be excluded by law.

Nothing in these Terms limits our liability for fraud, wilful misconduct, or anything else that cannot be limited under Kenyan law.

10. Ending your access

You may stop using Sync and cancel your account at any time. We may suspend or terminate your access if you materially breach these Terms and do not fix the breach after being notified, or immediately if needed to protect the security or integrity of Sync.

11. Changes to these Terms

We may update these Terms from time to time. If we make material changes, we will notify you by email before they take effect. Continuing to use Sync after that date means you accept the updated Terms.

12. Governing law

These Terms are governed by the laws of Kenya. Any disputes will be subject to the exclusive jurisdiction of the courts of Kenya, unless otherwise required by applicable law. [PLACEHOLDER — confirm with legal review whether arbitration or another dispute resolution mechanism is preferred instead.]
